DEEPINVENT, INC. ACCEPTABLE USE POLICY

PLEASE READ THE FOLLOWING ACCEPTABLE USE POLICY (THE “AUP”), WHICH APPLIES TO ANY USER (“USER” OR “YOU”) ACCESSING OR USING THE AI INNOVATION ASSISTANT TOOL (THE “SOFTWARE” OR “Deepinvent”) PROVIDED BY DEEPINVENT, INC. THE AUP DEFINES THE TERMS AND CONDITIONS FOR ACCESSING AND USING THE SOFTWARE. THIS AUP SUPPLEMENTS THE AGREEMENT BETWEEN DEEPINVENT, INC. AND THE ORGANIZATION OR ENTITY THAT YOU REPRESENT (THE “AGREEMENT”).

UNLESS DEFINED DIFFERENTLY IN THIS AUP, CAPITALIZED TERMS HAVE THE MEANING GIVEN TO THEM IN THE AGREEMENT. BY USING THE SERVICES OR SUBSCRIBING TO THE SERVICES, YOU CONFIRM THAT YOU AGREE TO THIS AUP. IF YOU DO NOT AGREE, DO NOT USE OR ACCESS THE SERVICES. ACCEPTANCE OF THIS AUP OCCURS THE FIRST TIME YOU USE ANY DEEPINVENT, INC. SERVICE. YOU ACKNOWLEDGE YOU HAVE READ AND UNDERSTOOD THIS AUP AND THAT YOU AGREE TO ALL ITS TERMS.

1. Access

By registering, you confirm that your provided information is accurate and that you will update it as needed. You are responsible for the security of your login credentials (username and password). You may not share your account or password with anyone. You are responsible for any actions taken under your account. You also confirm that you are legally able to form a binding contract. If you accept this AUP on behalf of an organization, you confirm you have authority to do so and to bind that organization.

You are responsible for your own hardware, software, and internet connection costs. You must ensure your computer and network are secure to the extent reasonably possible.

2. Availability of the Services

Access to the Services may be suspended or limited for updates, maintenance, or events beyond DEEPINVENT, INC.’s control. DEEPINVENT, INC. may also change or discontinue parts of the Services, introduce new features, or restrict some features or access as necessary.

3. Restrictions of Use

Customer shall not and shall not allow or encourage any User or any other third party: 

  1. to reverse engineer, decompile, disassemble the Software or any portion of it, derive or determine or attempt to derive or determine the source code, object code, or the underlying ideas, algorithms, structure or organization of the Software, except as expressly permitted by law and pursuant the Agreement entered into between DEEPINVENT, INC. and Customer; 

  2. to modify, adapt, alter, translate, merge, develop versions, or develop derivative works based on the Services;

  3. to copy or make derivative works based on any part of the Services or Documentation; 

  4. to sublicense, lease, sell, resell, rent, loan, distribute, pledge, assign, transfer the Services; 

  5. to allow the use of the Services for the benefit of a third party (except with respect to Customer’s clients as contemplated by the Terms & Conditions), 

  6. to remove, alter, or obscure any proprietary notices (including copyright and trademark notices) of Deepinvent or its licensors on the Software or any copies thereof, 

  7. to upgrade, improve or extend features or functionalities of the Software or otherwise;

  8. to interfere in any manner with the operation of the Services, 

  9. to use the Services to build a similar or competitive product or service; 

  10. to separate the components of the Software and install them on different devices; 

  11. to attempt to access the Services through any unapproved interface; 

  12. to otherwise use the Services in any manner that exceeds or bypass the scope of use granted by Deepinvent to Customer pursuant to the Agreement entered into between Deepinvent and Customer; 

  13. to attempt or engage in any activity or action which may reasonably interrupt, suspend, slow down or prevent the continuity of the Services; 

  14. to attempt or engage in any intrusion or attempted intrusion into Deepinvent’s systems; 

  15. to attempt or engage in any deliberate breach of security and authentication measures; 

  16. to violate or encourage the violation of the legal or contractual rights of others or encourage, engage or promote unlawful activities; or organize any acts of violence. or use the Services in a manner that is harmful, deceptive, threatening, harassing or obscene or that violates any third-party intellectual property, contractual or other proprietary rights. 

Subject to the Agreement, a violation of any of the foregoing is grounds for immediate suspension or termination of your right to use or access the Services, without notice nor process and without prejudice to any compensation that may be claimed from the author of the said violation by DEEPINVENT, INC.

4. Personal Data

Unless the Agreement expressly allows it, do not upload personal data to the Software. If you must upload personal data, you must tell your DEEPINVENT, INC. account manager in writing at least one (1) week in advance, and DEEPINVENT, INC. must agree in writing to process such data.

5. Guarantees

You are responsible for backing up your data and protecting your hardware and software. You acknowledge that:

  • DEEPINVENT, INC. is not a law firm or qualified attorney;

  • DEEPINVENT, INC. does not provide legal advice;

  • The Services are not a substitute for legal advice or opinion;

  • Outputs from the Services may not be accurate, complete, or current;

  • You should consult qualified lawyers as needed;

  • No attorney-client relationship is created by using the Services.
